Compensation to the CEO and senior executives

Xspray Pharma must offer levels of compensation and employment conditions on market terms to enable the recruitment and retention of senior executives and key expertise. There are currently no agreements regarding severance pay for senior executives. Compensation to senior executives consists of basic salary, share-related compensation, pension provision and other benefits.

Long term incentive programs

LTIP 2021/2024
The LTIP 2021–2024 warrant program encompasses 189,340 warrants that can be exercised during the period from June 3, 2024 through July 15, 2024 at a subscription price of SEK 148.60 per share.
None of the outstanding warrants were exercised and they have therefor been forefeited.

LTIP 2021/2026 Chairman
LTIP 2021–2026 Chairman warrant program includes the Chairman of the Board and encompasses 13,214 warrants that can be exercised during the period from May 25, 2026 through June 15, 2026 at a subscription price of SEK 128.70 per share.
There is a maximum dilution effect of 0.04% on the current number of shares.

LTIP 2022/2025
The LTIP 2022–2025 warrant program encompasses 140,625 warrants and 281,250 employee stock options that can be exercised during the period from June 15, 2025 through July 15, 2025 at a subscription price of SEK 131.90 per share. In 2022 and 2024, 14,726 warrants and 42,030 employee stock options were repurchased due to terminations of employment.
There is a maximum dilution effect of 1,08% on the current number of shares.

LTIP 2023/2026
The LTIP 2023–2026 warrant program encompasses 94,576 warrants and 204,152 employee stock options that can be exercised during the period from June 15, 2026, through July 15, 2026, at a subscription price of SEK 89.80 per share. In 2024, 5,118 warrants and 10,236 employee stock options were repurchased due to terminations of employment.
There is a maximum dilution effect of 0,79% on the current number of shares.

LTIP 2024/2027
The LTIP 2024–2027 warrant program encompasses 129,371 warrants and 266,242 employee stock options that can be exercised during the period from May 24, 2027, through June 11, 2027, at a subscription price of SEK 117.50 per share.
There is a maximum dilution effect of 1,11% on the current number of shares.
